Terms and Conditions
1. Acceptance of Terms
By creating an account, initiating an SSO session, subscribing to a platform tier, or accessing any service provided by Coderyx Global Technologies Ltd ("Coderyx", "we", "us", or "our"), you ("Customer", "User", or "Subscriber") agree to be bound by these Terms and Conditions, our Privacy Policy, Acceptable Use Policy, and Refund Policy. If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity.
2. The Coderyx Ecosystem Architecture
Coderyx operates a unified multi-product platform interconnected through high-security single sign-on (SSO) and synchronized profile data:
- Coderyx Central (Main Hub): Account management, unified profile credentials, master subscription billing, team management, and global access delegation.
- Coderyx Guard (Enterprise SIEM & SOC): Continuous telemetry monitoring, automated host isolation, enterprise endpoint telemetry defense, SOC Co-Pilot AI threat analysis, and MITRE ATT&CK mitigation.
- Coderyx LeadFlow (Omnichannel ERP & CRM): Lead pipelines, sales, invoicing, double-entry accounting, HRMS, and ClickUp-style real-time Team Chat Spaces.
- Coderyx TrustCheck (Threat Intelligence): Digital footprint analysis, attack surface mapping, port scanning, and privacy risk quantification.
- Coderyx ProtoStudio (UX Wireframing & Prototyping): Vector wireframing canvas, hotspot interaction wiring, Justinmind/Figma asset ingestion, live device simulators, and production code package generation.
3. User Accounts, Single Profile & Verification
To maintain enterprise trust and protect against automated bot abuse, all accounts are subject to mandatory identity and credential verification requirements:
- Mandatory Email Verification: You must verify ownership of your registered email address before platform features, product dashboards, or API endpoints can be accessed.
- Step-Up Security Authentication: Critical operations—including password modification, multi-factor authentication (MFA) reconfiguration, active session revocation, and subscription cancellations—require explicit step-up password confirmation.
- Single Unified Profile Picture: A single profile picture uploaded in Coderyx Central automatically propagates across all products, chat channels, and collaborator lists to maintain identity integrity. Uploaded images must comply with our Acceptable Use Policy.
- Account Security: You are responsible for safeguarding your login credentials and MFA authenticator keys. Notify Coderyx immediately at security@coderyx.com upon discovering unauthorized access.
4. Subscriptions, Pricing & 7-Day Free Trial
Platform products are offered under flexible subscription models billed in Nigerian Naira (₦) or equivalent currency:
- 7-Day Free Trial: Eligible users may activate a 7-day free trial on selected products without upfront commitment. Upon trial expiration, features revert to standard baseline capabilities unless an active subscription tier is selected.
- ProtoStudio Monthly Tiers:
- Starter (₦5,000 / month): Up to 5 active prototypes, Canvas & Hotspot wiring, mobile/desktop skins, link sharing with live comments.
- Professional (₦10,000 / month): Up to 20 active prototypes, variables & data simulation, screen transitions, Justinmind/Figma imports, editable package export.
- Agency (₦25,000 / month): Unlimited prototypes, full developer handoff, interactive HTML export, client sign-offs, custom domain publishing, and 99.9% uptime SLA.
- Billing Cycle & Renewals: Subscriptions automatically renew monthly unless cancelled prior to the renewal date via your Central Billing Dashboard.
- Taxes: All fees are exclusive of applicable value-added taxes (VAT) or withholding taxes unless explicitly stated otherwise.
5. ProtoStudio Usage & Code Generation Rights
ProtoStudio allows subscribers to generate interactive wireframes, screen transitions, and code packages. You retain 100% full intellectual property ownership of all custom design components, flow diagrams, and exported production packages created in your workspace. Coderyx claims no proprietary rights over user-generated design outputs.
6. Security Monitoring & Penetration Testing Tools
Coderyx Guard and TrustCheck provide offensive security assessment, footprint mapping, and telemetry ingestion:
- Authorized Targets Only: You may only initiate port scans, vulnerability assessments, or digital footprint audits against domains, IP addresses, and digital assets that you own or have explicit, documented legal authorization to inspect.
- Automated Agent Isolation: In Coderyx Guard, enabling auto-isolation allows the platform to trigger host-level firewall quarantine upon detecting critical threats (Level 12+ alert severity). Coderyx is not liable for temporary service interruptions resulting from user-configured automated defensive rules.
7. Intellectual Property Rights
The Coderyx ecosystem, user interfaces, branding, software engines, machine learning models, database schemas, and documentation are the exclusive intellectual property of Coderyx Global Technologies Ltd. Customers receive a non-exclusive, revocable, non-transferable license to access and use the platform in compliance with their subscription tier.
8. Service Level Agreement (SLA)
Coderyx guarantees 99.9% monthly uptime for all production tier subscribers (Professional, Enterprise, and Agency tiers). In the event that monthly uptime falls below 99.9% (excluding scheduled maintenance communicated at least 24 hours in advance), eligible subscribers may request proportional billing service credits in accordance with our SLA policy.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Coderyx Global Technologies Ltd, its directors, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of your access or inability to access the platform.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this agreement shall be submitted to confidential binding arbitration administered in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
